GENERAL TERMS AND CONDITIONS OF THE APPLICATION
Clause 1: Introduction and Legal Acknowledgment
These Terms and Conditions constitute the legal framework governing your use of the Sahla Plus Application, owned by Code Tank Solutions for Designs and Software (Limited Liability Company) and operated by Genera Marketing. Your access to, or use of, the Application, or your performance of any action or submission of any request through it, shall constitute your express, final and legally binding acceptance of all provisions set forth in these Terms and Conditions.
The User acknowledges that he/she has full legal capacity to enter into legal acts, and that he/she is not less than eighteen (18) years of age. The User further acknowledges that he/she has read these Terms carefully, understood their content and accepted them without reservation or condition. Pressing the “I Agree” button shall be deemed an electronic signature having full legal effect in accordance with the applicable laws and regulations.
Definitions
For the purposes of these Terms and Conditions, the following terms shall have the meanings assigned to each of them below, unless the context requires otherwise:

2. Nature of the Application and Scope of Services
The Application is a digital technical tool operating as a qualifying intermediary. It aims to collect and preliminarily analyze Users’ data, and to connect them with licensed Financing Entities within the Arab Republic of Egypt. The Application also provides guidance and informational support services to assist Users in understanding the requirements of mortgage finance and their preliminary suitability to obtain such finance, within a general advisory framework that does not amount to binding financial, credit, or legal advice.
The Application shall not, under any circumstances, be deemed a bank, financing entity, or mortgage finance company. It does not provide loans, credit facilities, or financial guarantees of any kind. The role of the Application is limited to receiving applications, conducting a preliminary assessment thereof, and making them available to Financing Entities, without any intervention in the decisions of such entities, whether in relation to approval, rejection, the finance amount, duration, rate of return, or any other terms.
The User expressly and finally acknowledges that using the Application does not create any legal obligation to grant him/her finance, nor does it give rise to any express or implied guarantee of obtaining approval from any Financing Entity under any circumstances. The User further acknowledges that any information, guidance, or results provided through the Application are for general indicative purposes only, and that the User relies upon them at his/her sole and full responsibility, without any liability whatsoever on the part of the Application.
The User expressly acknowledges and agrees that all indicators, results, assessments, eligibility percentages, or recommendations that may appear to him/her through the Application are estimated and indicative results based solely on the data entered, and do not constitute financing approval, a promise, undertaking, or obligation by any Financing Entity.
3. Legal and Regulatory Framework
This Application is subject to, and is operated in accordance with, the laws and regulations in force in the Arab Republic of Egypt, in particular Mortgage Finance Law No. 148 of 2001 and its amendments, Personal Data Protection Law No. 151 of 2020, Anti-Cyber and Information Technology Crimes Law No. 175 of 2018, as well as the rules and instructions issued by the Central Bank of Egypt and the Financial Regulatory Authority.
The User acknowledges that all financing transactions that may arise are concluded directly between the User and the Financing Entity in accordance with the laws regulating such transactions, without any liability whatsoever on the part of the Application.
The User further acknowledges that the Application does not carry out any legally regulated financial, banking, or financing activities. Its role is limited to technical intermediation and the exchange of data and information between Users and Financing Entities.
4. Account Creation and Registration
Use of the Application and its services requires the creation of an electronic account. Upon registration, the User acknowledges the accuracy of the data provided and undertakes to maintain the confidentiality of login credentials and not to share them with any third party. The User shall be fully responsible for all activities carried out through his/her account.
Accounts within the Application are divided into two main categories: accounts for purchasers (mortgage finance applicants) and accounts for sellers (property unit offerors). Each type of account is subject to verification and usage requirements that differ according to the nature of the service. The Application shall have the right to request additional documents from each category as it deems appropriate.
The Application reserves the right to refuse the creation of any account, or to suspend or delete any account at any time without providing reasons, in the event of a breach of these Terms or suspicion of unlawful activity.
5. Verification and Acceptance
All accounts and applications submitted through the Application are subject to internal verification procedures, which may include verifying the identity, data, and documents submitted, in accordance with legal compliance requirements, Know Your Customer (KYC) procedures, and Anti-Money Laundering (AML) policies.
The creation of an account or submission of an application shall not be deemed final approval for using the service or acceptance of the application. The Application reserves the full right to reject or suspend any account or application at any stage, and without giving reasons, whenever it considers this necessary for legal, regulatory, or technical reasons.
6. Documents and Information Submitted
The User acknowledges that all documents and data submitted by him/her are accurate, valid, not forged, not altered, and not unlawfully attributed to any third party.
The User alone shall bear the civil, criminal, and administrative liability arising from the submission of any inaccurate, misleading, or forged data or documents.
The Application shall have the right to reject, suspend, or terminate any application whenever a violation, suspected forgery, or inaccuracy in the submitted data is discovered.
7. User Obligations
The User undertakes to provide true, accurate, and complete data and information, and shall alone bear legal responsibility for any inaccurate or misleading data. The User also undertakes not to use the Application for any activity that violates the law, public order, or public morals. The User acknowledges the right of the Application to take all necessary measures, including suspension of the account, cancellation of the application, or taking legal action, in the event of breach of these obligations.
The Seller further undertakes to ensure that the advertisement or data submitted does not violate any laws, ownership rights, or third-party rights, and shall alone bear all disputes or claims arising therefrom.
The Application may remove any advertisement or property unit without prior notice if it is found to involve a legal violation or inaccurate information.
8. Terms of Use for Sellers
In the event of using the Application to offer property units, the Seller acknowledges that he/she has the legal right to dispose of the property. The Seller further undertakes to provide accurate and complete data about the unit, and to disclose its legal status and any obligations or disputes relating to it. The Application shall not bear any liability for the accuracy of such data or for any legal disputes arising between the parties, as the burden of verification lies entirely with the Users.
9. Processing of Applications
The Application conducts a preliminary assessment of the applications submitted by Users and then refers them to Financing Entities. The final decision regarding approval, rejection, or amendment of the terms remains entirely subject to the discretion of such entities. The User acknowledges that he/she shall have no right to claim against or have recourse to the Application for any obligation relating to the outcome of the application.
10. Anti-Fraud and Misuse
The Application reserves the right to take all necessary technical and legal measures to monitor and prevent any fraudulent, suspicious, or unlawful activities.
The Application may suspend or freeze accounts or applications temporarily pending the completion of review and verification, without this giving rise to any liability or compensation.
11. Reliance on and Dealings with Third Parties
The Application relies on third parties, including, without limitation, banks, finance companies, and governmental authorities, and shall not bear any liability for decisions, procedures, or delays issued by or attributable to such parties.
12. Fees
The Application may charge fees for its services. Such fees are charged in consideration of the use of the Application and its services and/or its advisory services, and are not linked to the outcome of the application. Such fees shall be non-refundable once the service has been provided.
The fees, if any, include only fees for using the platform and for technical, advisory, and administrative services, and shall not, under any circumstances, be deemed part of the finance or fees imposed by the Financing Entity.
The User shall not be entitled to request a refund of fees after the service has been provided or after its implementation has commenced, except in cases required by law.
13. Complaints and Inquiries
The Application provides dedicated channels for receiving Users’ complaints and inquiries, which are handled in accordance with the approved internal procedures within a reasonable period of time. Submission of a complaint shall not constitute an obligation on the Application to respond to the User’s request or to change the outcome of any decision issued by Financing Entities. The Application reserves the right to request additional information to verify the complaint before taking any action.
14. Data Protection and Compliance
The User agrees to the collection, processing, and sharing of his/her data with Financing Entities and competent authorities, in accordance with the provisions of the Personal Data Protection Law. The User also agrees to identity verification procedures and Anti-Money Laundering policies, and acknowledges the right of the Application to disclose data whenever such disclosure is an obligation and/or necessary.
The User agrees that data may be stored inside or outside the Arab Republic of Egypt with approved technical service providers whenever this is necessary for operating the Application or providing the service, and in a manner that does not violate the laws regulating the protection of personal data.
The Application may use anonymized data for statistical, analytical, and service-improvement purposes.
15. Information Security
The Application exercises reasonable care to secure systems and data against hacking or unauthorized access.
Nevertheless, the Application does not guarantee that systems will not be exposed to malfunctions, cyberattacks, or technical circumstances beyond its control. The User agrees to use the service at his/her own risk.
16. Limitation of Liability
To the maximum extent permitted by law, the Application and/or its operators, representatives, partners, or employees shall not bear any legal liability, whether direct, indirect, incidental, or consequential, for any damages, losses, or costs that may arise from or relate to the use of the Application or the inability to use it. This includes, without limitation, rejection of financing applications, failure to obtain finance, financial losses, loss of opportunities, reliance on the information or results provided through the Application, errors or inaccuracies in data submitted by the User, technical malfunctions or interruptions, or any defect beyond the control of the Application.
The Application shall not bear any liability for any decisions issued by Financing Entities or any third parties. The User acknowledges that he/she uses the Application at his/her sole and full responsibility. The Application shall also not bear any consequences relating to documents submitted by the User.
In all cases, the aggregate liability of the Application, if legally established, shall not exceed the value of the fees paid by the User to the Application during the twelve (12) months preceding the date on which the cause of the claim arose.
17. Indemnification
The User agrees to indemnify the Application for any damages, losses, or claims arising as a result of the User’s breach of these Terms or misuse of the service.
Pursuant to these Terms, the User agrees to indemnify and hold harmless the Application, its operators, officers, partners, and employees from any claims, lawsuits, losses, damages, liabilities, or expenses arising directly or indirectly as a result of: the use of the Application; breach of any provision of these Terms; submission of inaccurate or misleading data; infringement of any third-party rights; or violation of applicable laws and regulations.
This obligation shall remain valid and effective even after the termination of use of the Application or closure of the account for any reason.
18. No Waiver
No failure or delay by the Application in exercising any right or power granted under these Terms shall be deemed a waiver of such right or power, or of any other right.
19. Intellectual Property
All intellectual property rights relating to the Application, including, without limitation, designs, software, databases, texts, logos, trademarks, and digital content, are owned solely by the Application and its operators or are licensed to them, and are protected under the relevant laws and agreements.
The User may not copy, reproduce, modify, publish, distribute, or exploit any part of the Application content by any means, whether for commercial or non-commercial purposes, without obtaining the prior express written consent of the Application or the rights holder.
The User also acknowledges that any content, data, or information made available by him/her through the Application does not infringe intellectual property rights or any other third-party rights, and the User shall bear full legal responsibility if the contrary is established.
20. Suspension or Termination
The Application reserves the full right, at any time and without prior notice, to suspend, restrict, or terminate the User’s account or prevent the User from accessing the services of the Application, in the event of breach of these Terms, misuse of the Application, or suspicion of any unlawful, fraudulent, or harmful activity affecting the interests of the Application, other Users, or any related parties.
Such termination shall not give rise to any obligation on the part of the Application toward the User, and the User shall not be entitled to claim any compensation as a result thereof.
21. Force Majeure
The Application shall not bear any liability for any delay or failure in performing its obligations if such delay or failure results from circumstances beyond its will or control, including, without limitation, natural disasters, crises, governmental decisions or measures, interruption of telecommunications or internet services, general technical malfunctions, or any other force majeure events.
22. Amendments
The Application reserves the right to amend or update these Terms and Conditions at any time as it deems appropriate, in order to keep pace with legal, regulatory, or operational changes.
The User’s continued use of the Application after publication of any amendments shall constitute implied and final acceptance of such amendments. The amended Terms shall become effective and binding as of the date of their publication on the Application.
23. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, this shall not affect the validity and enforceability of the remaining provisions, which shall remain fully valid and binding.
24. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.
In the event of any dispute relating to the interpretation, performance, validity, or termination of these Terms, the parties shall first seek to settle the dispute amicably within thirty (30) days from the date of notification thereof.
If an amicable settlement cannot be reached, the Cairo Economic Courts shall have exclusive jurisdiction to hear any dispute arising in connection with these Terms, the use of the Application, or the services provided through it, unless jurisdiction is legally vested in another judicial authority by mandatory law.
25. Ratings and Reviews
The Application allows Users to provide ratings and write comments reflecting their experience, within the framework of lawful and objective use.
These ratings are used for the purposes of improving service quality and monitoring the performance of Users and service providers. The Application reserves the right to review, delete, or amend any content that violates laws or policies, or that is inappropriate or misleading, without the need for prior notice.
